Following Congress’s late 2020 passage of the U.S. AIM Act—which authorized the EPA to manage the shift toward lower-impact refrigerants—Chemours asserted that regulatory adoption was propelling consistent, double-digit growth for its Opteon line. Building on this momentum, the company issued full-year 2026 guidance forecasting net sales growth of 3% to 5% and adjusted EBITDA between $800 million and $900 million, citing elevated demand for Opteon products. However, the complaint alleges that Chemours omitted critical market conditions, failing to disclose that clients had pre-stocked Opteon inventory due to the AIM Act transition, which left commercial channels oversupplied entering 2026. These underlying inventory imbalances were exposed on August 4, 2026, when Chemours published its second-quarter 2026 financial metrics. The company disclosed a roughly 1% year-over-year decline in net sales and lowered its 2026 adjusted EBITDA outlook by nearly 11% to a new range of $775 million to $825 million. Executive commentary acknowledged that customers had accumulated surplus inventory during the prior year, aftermarket channels were saturated, and sales were being made into an oversupplied marketplace. In response to these revelations, Chemours’s share price plummeted $3.34, or 18.63%, dropping from its August 4 closing price of $17.93 to close at $14.59 per share on August 5, 2026.
